Rental Pal Pro Affiliate Agreement

This Affiliate Agreement and the Rental Pal Pro Terms of Service incorporated herein by reference (collectively, the “Agreement”) govern your application to join and participation in the Rental Pal Pro Affiliate Program (the “Program”).

By applying to, joining, or participating in the Program, you agree to be bound by this Agreement. This Agreement is a binding legal agreement between you, or the business entity you represent (“Affiliate,” “you,” or “your”), and Rental Pal Pro (“Rental Pal Pro,” “Company,” “we,” “us,” or “our”).

If you are entering into this Agreement on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to this Agreement.

Rental Pal Pro reserves the right to update or modify this Agreement at any time. Your continued participation in the Program after any update constitutes your acceptance of the revised Agreement.

1. Program Application

You agree to provide all information reasonably requested by Rental Pal Pro in connection with your application to the Program. You represent and warrant that all information you submit is true, accurate, and complete.

Rental Pal Pro retains sole discretion in determining whether you qualify for participation in the Program and may approve or reject any application for any lawful reason.

You consent to being contacted regarding your application and participation in the Program through the contact information you provide. You may revoke this consent by written notice sent to [email protected].

2. Affiliate Program Rules

To participate in the Program, you must comply with this Agreement and all applicable laws, rules, and regulations. Failure to comply may result in suspension or termination from the Program and forfeiture of unpaid commissions.

a. Legal Compliance

You are solely responsible for ensuring that your advertising, promotions, and affiliate activity comply with all applicable laws and regulations, including but not limited to laws concerning:

deceptive or misleading advertising

email marketing and anti-spam laws

endorsement and testimonial disclosures

consumer protection laws

platform-specific advertising rules

b. Required Disclosure

When promoting Rental Pal Pro, you must clearly and conspicuously disclose your affiliate relationship. A compliant example is:

Disclosure: I am an independent affiliate of Rental Pal Pro. I am not an employee, agent, or representative of Rental Pal Pro and do not have authority to bind the company. I may receive a referral commission if you purchase through my affiliate link.

c. Non-Disparagement

You may not publish or communicate false, defamatory, misleading, or disparaging statements about Rental Pal Pro, its team, customers, or partners.

d. Social Media Compliance

If you promote Rental Pal Pro through social media, you must comply with all platform rules and clearly identify sponsored or affiliate content where required by law or platform policy.

e. Marketing Claims

You may not make false, misleading, exaggerated, or unsubstantiated claims regarding Rental Pal Pro, including but not limited to claims about earnings, guaranteed results, business success, or financial outcomes.

You may not represent Rental Pal Pro as:

a guaranteed income opportunity

a franchise

a business opportunity

a “done-for-you” or “business-in-a-box” system unless expressly authorized by us in writing

Any testimonial or performance statement you make must be truthful, based on actual experience, and include proper disclaimers where legally required.

f. Prohibited Conduct

You agree that you will not:

self-refer using your own affiliate link

engage in fraudulent, deceptive, abusive, or manipulative practices

use spam, unsolicited bulk messaging, or unauthorized outreach

use cookie stuffing, fake redirects, misleading links, or masked referral sources

copy, impersonate, or closely mimic the Rental Pal Pro website, branding, or materials in a way that causes confusion

promote unauthorized discounts, coupons, promo codes, or special offers

advertise on websites, channels, or platforms containing unlawful, hateful, pornographic, violent, or otherwise objectionable content

violate any intellectual property rights belonging to Rental Pal Pro or any third party

3. Commissions

a. One-Time Commission Per Referred Account

Affiliate commissions are paid one time only per referred account.

If an Affiliate refers a new customer account to Rental Pal Pro and that referred account results in a qualifying sale, the Affiliate may earn a single commission payment for that account only.

For clarity:

Commission is not recurring

Commission is not monthly

Commission is not paid on renewals

Commission is not paid multiple times for the same customer account

Commission is not paid again if the same customer upgrades, renews, reactivates, or purchases additional services later, unless Rental Pal Pro expressly agrees otherwise in writing

Once a commission has been paid on a referred account, no additional commission will be owed for that same account.

b. Qualifying Referral

A referral qualifies only if:

the customer uses your valid affiliate link or affiliate tracking ID

the customer is a new customer not previously associated with another affiliate or internal sales source

the sale is legitimate and not fraudulent

the referred account remains active and in good standing for at least forty-five (45) days

the customer has fully paid all applicable charges related to the qualifying purchase

you have submitted all required payment and tax information

c. Attribution

Rental Pal Pro reserves the sole right to determine referral attribution. If multiple affiliates, campaigns, or sources are connected to the same referred customer, Rental Pal Pro may determine which affiliate, if any, receives credit.

d. Commission Amount

Commission rates, structures, and promotional payouts shall be determined solely by Rental Pal Pro and may be updated at any time in our sole discretion.

Any posted or communicated commission structure is subject to change without prior notice unless otherwise stated in a separate written agreement.

e. Payment Terms

Earned commissions are typically paid on the 15th of the month following the date the commission becomes payable, provided:

the applicable holding period has passed

the referred sale remains valid

your payment details are complete and accurate

your total payable commission balance meets the minimum payout threshold, if any

If the payout date falls on a weekend or holiday, payment may be processed on the next business day.

f. Minimum Payout Threshold

Rental Pal Pro may require a minimum accrued commission balance before issuing payment. If a minimum threshold applies, it will be communicated through the affiliate platform or otherwise in writing.

g. Forfeiture

Any commission may be withheld, reversed, denied, or forfeited if:

the sale is refunded, reversed, or charged back

the sale is found to be fraudulent

the referral violated this Agreement

your payment or tax information is incomplete

you are terminated from the Program for cause

payout cannot be completed due to your failure to maintain a valid payment account

4. Intellectual Property

Rental Pal Pro may provide you with approved marketing materials, logos, graphics, copy, links, or other assets for use in connection with the Program (“Rental Pal Pro Materials”).

All Rental Pal Pro Materials remain the exclusive property of Rental Pal Pro. You are granted a limited, revocable, non-exclusive, non-transferable license to use approved materials solely for participation in the Program and only in compliance with this Agreement.

You may not modify, misuse, or present Rental Pal Pro Materials in a misleading or unauthorized way.

5. Term and Termination

This Agreement begins when you are accepted into the Program or otherwise begin participating in it, whichever occurs first, and continues until terminated.

Either party may terminate this Agreement at any time, with or without cause, upon written notice.

Rental Pal Pro may suspend or immediately terminate your participation in the Program at any time if we determine, in our sole discretion, that you have violated this Agreement, applicable law, or engaged in conduct that exposes the company to legal, reputational, or operational risk.

If your participation is terminated for cause, you may forfeit any unpaid commissions.

6. Independent Contractor Relationship

You are an independent contractor. Nothing in this Agreement creates any partnership, joint venture, agency, franchise, employment, or other fiduciary relationship between you and Rental Pal Pro.

You have no authority to act on behalf of or bind Rental Pal Pro in any manner.

7. No Guarantee of Earnings

Rental Pal Pro does not guarantee any level of income, sales, commissions, or business success through participation in the Program.

Your results depend on multiple factors outside the Company’s control, including your own marketing activity, audience, performance, and market conditions.

8. Limitation of Liability

To the fullest extent permitted by law, Rental Pal Pro shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to this Agreement or the Program.

To the fullest extent permitted by law, Rental Pal Pro’s total liability under this Agreement shall not exceed the total amount of commissions paid to you in the three (3) months preceding the event giving rise to the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Rental Pal Pro and its owners, officers, employees, contractors, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

your participation in the Program

your breach of this Agreement

your advertising or promotional activity

your violation of any law or third-party right

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in Harris County, Texas, except that either party may seek temporary or injunctive relief in a court of competent jurisdiction where necessary to prevent irreparable harm.

The parties agree that disputes will be brought only on an individual basis and not as part of any class or collective action.

11. General Provisions

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

This Agreement constitutes the entire agreement between the parties regarding the Affiliate Program and supersedes all prior discussions, communications, or understandings related to the Program unless replaced by a separate written agreement signed by both parties.

No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.
