RENTALPALPRO TERMS OF SERVICE

These Terms of Service (the “Terms,” “TOS,” or “Agreement”) govern your access to and use of the RentalPalPro website, software, products, services, content, and materials (collectively, the “Site” or “Services”) provided by RentalPalPro (“RentalPalPro,” “Company,” “we,” “us,” or “our”).

By accessing, purchasing, subscribing to, or using RentalPalPro, you agree to be bound by these Terms, together with any other policies referenced herein, including our Privacy Policy and any applicable cancellation or billing terms made available through the Site. If you do not agree to these Terms, do not access or use the Services.

1. Description of Services

RentalPalPro provides licensed access to an all-in-one business and marketing software platform designed to help entrepreneurs and businesses organize contacts and automate sales, communication, and operational workflows.

Features may include, without limitation:

Email

2-way SMS

Outbound Calling

Call Tracking

Call Recording

Form Builder

Survey Builder

Funnel Builder

Website Builder

Online Scheduling

Other related tools and features

All services, software, systems, and related functionality are referred to collectively as “RentalPalPro.”

RentalPalPro is provided on an “AS IS” and “AS AVAILABLE” basis. We do not guarantee uninterrupted access, error-free operation, or that all communications, data, settings, or customizations will be preserved without issue. RentalPalPro assumes no responsibility for delays, deletion, delivery failures, missed communications, or failure to store user data or settings.

2. Changes to Terms

We reserve the right to update, modify, or replace these Terms at any time, in whole or in part, at our sole discretion. Any changes become effective immediately upon posting unless otherwise stated. Your continued use of the Services following any such changes constitutes your acceptance of the revised Terms.

3. Changes to the Services

We may modify, suspend, discontinue, or remove any aspect, feature, functionality, content, or service offered through RentalPalPro at any time, with or without notice. This includes changes to software tools, pricing structures, integrations, access levels, and technical requirements needed to use the Services.

4. Registration and Account Responsibility

To access certain features, you may be required to register for an account (“Account”). By creating an Account or using RentalPalPro, you represent and warrant that all information you provide is true, current, complete, and accurate to the best of your knowledge.

You agree to:

Maintain accurate registration and account information

Promptly update your information as needed

Maintain the confidentiality of your login credentials

Be solely responsible for all activity occurring under your Account

If any information you provide is false, inaccurate, outdated, or incomplete, or if we reasonably suspect such information is false, inaccurate, outdated, or incomplete, we may suspend, restrict, or terminate your access to the Services.

You are responsible for obtaining and maintaining all internet access, devices, software, hardware, and related services necessary to use RentalPalPro.

RentalPalPro is not responsible for unauthorized access to your Account. If you suspect unauthorized use, you must notify us immediately at [email protected].

Only the authorized account holder and approved users under your applicable subscription may access password-protected areas. If login credentials are shared, disclosed, loaned, or otherwise used by unauthorized persons, whether knowingly or unknowingly, the original account holder remains fully responsible for all activity, charges, and purchases associated with that access.

5. Authorization Charges

When you make a purchase, an authorization charge may be placed on your payment method to verify the validity of the card. This charge is typically released or refunded promptly; however, depending on your financial institution, it may take several business days to reflect in your account.

6. User Content and Interactive Areas

The Site may include comment sections, forums, community areas, chat spaces, or other interactive features (“Interactive Areas”) in which users may submit or post comments, text, photos, videos, messages, ideas, creative works, or other materials (“User Content”).

You are solely responsible for your use of Interactive Areas and any User Content you submit. You use such areas at your own risk.

Interactive Areas are intended only for individuals age 13 or older. By submitting User Content, you represent that you are at least 13 years old and, if under 18, that you are either an emancipated minor or have obtained the consent of a parent or legal guardian.

6.1 Event Media Release

From time to time, RentalPalPro may host in-person or virtual events, trainings, gatherings, or workshops (“Events”). By attending any Event, you irrevocably grant RentalPalPro and its affiliates, designees, successors, assigns, and licensees the right to record, photograph, film, and otherwise capture your name, image, voice, likeness, and participation, and to use such materials in any media now known or later developed for any lawful purpose, including marketing, advertising, promotion, education, and future events, without compensation. You release RentalPalPro and its related parties from any liability arising from such use.

6.2 Content Restrictions

You agree not to upload, post, transmit, or otherwise submit any User Content that:

Violates the rights of others

Defames, harasses, stalks, or threatens any person

Is false, misleading, or inaccurate

Contains hate speech, discriminatory content, or offensive expressions of bigotry

Contains obscene, pornographic, sexually explicit, exploitative, or otherwise inappropriate material

Violates any law or encourages illegal, dangerous, or predatory conduct

Advocates violence or poses a threat to public or personal safety

Infringes copyrights, trademarks, trade secrets, privacy rights, publicity rights, or other proprietary rights

Contains spam, unauthorized advertising, chain letters, junk mail, or solicitation

Uses the name or likeness of any identifiable individual without their consent

Contains viruses, malware, or any harmful or disruptive code

You bear full responsibility for ensuring that your User Content does not violate the rights of others or any applicable law.

6.3 Monitoring and Removal

RentalPalPro has the right, but not the obligation, to monitor, review, edit, refuse, or remove User Content at any time, with or without notice, and for any reason. We do not guarantee that we will monitor Interactive Areas and assume no responsibility for content posted by users.

You are solely responsible for backing up your User Content. We are not liable for loss, deletion, or removal of any User Content.

6.4 License to User Content

By submitting User Content, you grant RentalPalPro a royalty-free, perpetual, irrevocable, worldwide, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, create derivative works from, and otherwise exploit such User Content in any media or format now known or later developed, without compensation to you.

To the fullest extent permitted by law, you waive any moral rights in such User Content and agree not to assert them against us.

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate these Terms or any third-party rights.

7. User Conduct

When accessing or using RentalPalPro, you agree not to:

Interfere with or disrupt the Site, servers, or networks

Attempt unauthorized access to any system, account, or data

Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without written permission

Engage in unlawful conduct or conduct giving rise to civil liability

Impersonate any person or entity or misrepresent your affiliation

Harvest or collect personally identifiable information about others without consent

Violate the privacy rights of other users

Any conduct that, in our sole discretion, restricts or inhibits another user from using or enjoying the Services is prohibited.

8. Intellectual Property Rights

All content on the Site, including text, graphics, logos, icons, images, videos, software, code, workflows, designs, layouts, interfaces, and related materials (collectively, “Content”), is owned by or licensed to RentalPalPro and is protected by copyright, trademark, trade dress, and other intellectual property laws.

Except as expressly permitted in writing by RentalPalPro or by applicable law, you may not copy, distribute, reproduce, republish, transmit, display, perform, mirror, frame, modify, create derivative works from, or otherwise exploit any Content or any part of the Site for commercial or public purposes.

9. Forums and Community Areas

RentalPalPro may provide forums, message boards, group chats, or other community areas where users may exchange content and ideas (“Forums”).

User submissions in Forums do not reflect the views of RentalPalPro. RentalPalPro assumes no responsibility or liability for any user submissions, including errors, omissions, defamatory content, misleading statements, obscene material, or unlawful content.

All submissions to Forums are considered non-confidential and non-proprietary. By posting in any Forum, you grant RentalPalPro the rights described in Section 6.4 above.

We reserve the right to cooperate with law enforcement, court orders, or legal requests seeking the identity of any user who posts unlawful or prohibited content.

10. Outbound Marketing and Usage Costs

In addition to your subscription fee, your use of certain communication features may incur separate usage-based charges. These charges may apply to services such as phone calls, SMS, email, phone numbers, recordings, validations, carrier fees, and similar communication-related features.

RentalPalPro may offer wholesale or discounted rates to users for such services. These fees are billed separately from your monthly or annual subscription fee.

Typical usage categories may include, without limitation:

Outbound calls

Inbound calls

Phone numbers

SMS and MMS messages

Emails

Call recordings

Caller ID features

Carrier lookups

A2P registration fees

Other telephony or messaging-related charges

Rates are subject to change from time to time. Your billing statement, wallet settings, or account usage page may reflect applicable charges.

Messages sent through certain third-party social channels may not incur additional usage charges where supported.

11. Complimentary Credits and Wallet Requirements

From time to time, RentalPalPro may provide complimentary credits for use toward eligible services such as SMS, email, or phone calls. Complimentary credits:

Are non-transferable

Have no cash value

Do not roll over to future billing periods unless expressly stated

To use certain communication services, you may be required to maintain a minimum wallet balance in your account. By subscribing, you authorize RentalPalPro to charge your payment method for required wallet funding, subscription renewals, and any applicable usage fees, in accordance with your account settings and applicable billing terms.

12. Subscription, Cancellation, and Billing

You must maintain a valid payment method on file for all applicable fees.

By purchasing RentalPalPro, you agree to pay the subscription plan selected at checkout, whether billed monthly or annually. Monthly plans are charged on the same day each billing cycle. Annual plans are charged once per year unless otherwise stated.

You may upgrade or downgrade your plan, subject to then-current pricing and plan rules. Changes may take effect immediately or at the next billing cycle, depending on the plan and billing structure in place at the time of change.

If you wish to cancel your subscription, you must submit written notice to [email protected] at least 30 days prior to your desired cancellation date, unless a different notice period is expressly stated in a signed agreement.

After cancellation, you may continue to have access through the remainder of your then-current billing cycle, unless otherwise specified. You remain responsible for all outstanding balances, accrued usage charges, and any applicable fees incurred prior to termination.

Unused features, remaining credits, telephony charges, messaging fees, setup fees, onboarding fees, and similar charges are nonrefundable unless expressly stated otherwise in a separate written agreement signed by RentalPalPro.

RentalPalPro reserves the right to modify pricing, payment terms, plan structures, or feature availability at any time upon prior notice by email, through the platform, or on our website. Continued use of the Services after such notice constitutes acceptance of the updated pricing or terms.

13. Account Parking

RentalPalPro may, at its discretion, allow users to temporarily park an account for a monthly fee in order to preserve account data while suspending active access.

Unless otherwise stated in writing:

Parked accounts are subject to a monthly parking fee

Parking may be limited to a maximum period determined by RentalPalPro

Platform access may be suspended during the parking period

Standard billing may automatically resume after the parking period ends unless otherwise arranged

14. Privacy Policy

RentalPalPro values your privacy and is committed to safeguarding personal information. We may collect information you provide directly, as well as technical and usage-related data such as browser type, device information, IP address, and activity within the platform.

We may use this information to:

Provide and improve our Services

Process payments

Communicate with you

Maintain account security

Analyze platform usage and performance

Comply with legal obligations

We do not sell your personal information. We may share limited information with service providers, contractors, and business partners who help us operate the business, subject to appropriate confidentiality and security obligations.

We use commercially reasonable safeguards to protect your information; however, no system can be guaranteed completely secure.

You may request to update or delete your personal information by contacting [email protected], subject to legal, operational, and contractual retention requirements.

15. Hardship Extension

If a RentalPalPro user has been an active customer for at least six (6) months and experiences significant hardship, including unforeseen financial or personal circumstances, that user may request a one-time hardship extension.

To request consideration, the user must email [email protected] and provide an explanation of the hardship along with any supporting documentation reasonably requested.

All hardship requests are reviewed individually and granted solely at RentalPalPro’s discretion. Approval is not guaranteed. Any decision regarding hardship extensions is final.

A hardship extension, if granted, does not waive or modify any other obligations under these Terms and may only be granted once per user unless otherwise approved in writing.

RentalPalPro reserves the right to modify or discontinue this hardship provision at any time.

16. Sub-Account Transfers and Snapshot Creation Policy

RentalPalPro may operate on or in connection with third-party white-label infrastructure, including software environments that permit account templates, snapshots, or transfers between agencies or accounts.

16.1 Snapshot Policy

A “snapshot” generally refers to a reusable template or packaged configuration of account assets, which may include websites, funnels, automations, workflows, campaigns, forms, surveys, pipelines, and related build components.

RentalPalPro may use snapshots internally for the purpose of replicating or deploying assets within the RentalPalPro ecosystem.

However, RentalPalPro does not create snapshots for the purpose of transferring assets out of the RentalPalPro ecosystem.

This policy exists because external snapshot transfers may result in broken links, failed automations, formatting issues, missing assets, security concerns, data loss, operational instability, and significant troubleshooting burdens for all parties involved.

This policy is firm and applies without exception unless RentalPalPro expressly agrees otherwise in writing.

16.2 Customer Responsibility During Transition

If you choose to move from RentalPalPro to another platform or environment, you are responsible for rebuilding and recreating your assets in the new platform. This includes, without limitation:

Websites

Funnels

Workflows

Automations

Pipelines

Forms

Campaigns

Templates

Related account configurations

To support a smoother transition, customers are encouraged to document their systems thoroughly, export available data, test recreated assets, train their teams, and use available support resources in the new platform.

16.3 Sub-Account Transfer Feature

If a third-party platform offers a direct sub-account transfer feature, RentalPalPro may choose to use such functionality only in limited business cases such as mergers, acquisitions, or larger operational restructures where RentalPalPro is the receiving or approved transferring party.

RentalPalPro does not provide one-off transfer processing out of the platform for standard customer exits unless expressly approved in writing.

17. No Guarantee of Results

RentalPalPro provides software, systems, workflows, and tools intended to support business operations, marketing, communication, and growth. We do not guarantee any specific business result, revenue outcome, lead volume, conversion rate, operational efficiency, or success level from using the Services.

Your results depend on many factors outside our control, including your business model, implementation, industry, market conditions, team execution, advertising strategy, compliance, and follow-through.

18. Third-Party Services and Integrations

RentalPalPro may integrate with or rely upon third-party providers, platforms, carriers, processors, APIs, or software tools. We are not responsible for the performance, downtime, policy changes, pricing changes, service interruptions, acts, omissions, or failures of any third party.

Your use of third-party services may also be subject to separate terms imposed by those third parties.

19. Disclaimer of Warranties

To the fullest extent permitted by law, RentalPalPro disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or reliability.

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. We do not warrant that the Services will be uninterrupted, secure, error-free, or free from viruses or harmful components.

20. Limitation of Liability

To the fullest extent permitted by law, RentalPalPro and its owners, officers, directors, employees, contractors, affiliates, licensors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, loss of goodwill, or business interruption, arising out of or related to your use of or inability to use the Services.

In no event shall RentalPalPro’s total cumulative liability for any claim arising out of or relating to these Terms or the Services exceed the total amount paid by you to RentalPalPro during the three (3) months immediately preceding the event giving rise to the claim.

21. Indemnification

You agree to defend, indemnify, and hold harmless RentalPalPro and its affiliates, officers, directors, employees, contractors, agents, successors, and assigns from and against any claims, damages, liabilities, losses, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

Your use of the Services

Your violation of these Terms

Your violation of any law or third-party right

Your User Content

Any activity occurring under your Account

22. Termination and Suspension

We reserve the right, in our sole discretion, to suspend, restrict, or terminate your access to RentalPalPro at any time, with or without notice, for any reason, including violation of these Terms, suspected misuse, fraud, abuse, payment failure, security concerns, or conduct that may expose RentalPalPro or other users to risk.

Upon termination, your right to use the Services ceases immediately. Any provisions that by their nature should survive termination shall survive, including ownership, payment obligations, disclaimers, limitations of liability, indemnification, and dispute-related provisions.

23. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms, the Site, or the Services shall be brought exclusively in the state or federal courts located in Houston Texas, and you consent to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum or similar grounds.

RentalPalPro operates from the United States and does not represent that the Services are appropriate or available in every jurisdiction. Users who access the Services from other locations do so at their own risk and are responsible for compliance with local law.

24. Restricted Access and Export Compliance

You agree not to use, access, export, re-export, or transfer the Services or any related content in violation of U.S. export laws, sanctions laws, or regulations.

You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to applicable U.S. embargo or sanctions restrictions, and that you are not listed on any U.S. government restricted party list.

25. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severed and shall not affect the validity and enforceability of the remaining provisions.

26. No Waiver

Our failure to enforce any right or provision under these Terms shall not operate as a waiver of that right or provision.

27. Entire Agreement

These Terms, together with any policies or documents incorporated by reference and any separately executed written agreement between you and RentalPalPro, constitute the entire agreement between you and RentalPalPro regarding the Services and supersede all prior or contemporaneous understandings, communications, and agreements relating to the same subject matter.

28. Assignment

You may not assign, transfer, or sublicense your rights or obligations under these Terms without our prior written consent. RentalPalPro may assign these Terms at any time without restriction.

29. Promotions and Offers

Unless expressly stated otherwise in writing, promotional offers, discounts, and special pricing may not be combined.
